These Terms of Service (“Terms”) govern your access to and use of our mobile applications, website located at https://getdwindle.com, and any related features, products, and services (collectively, the “Service”).

By creating an account, clicking “I Agree,” or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

We may modify these Terms at any time. Material changes will be communicated to you, and your continued use of the Service constitutes acceptance of any updates.

• Dwindle is not a bank, credit union, lender, broker, investment adviser, fiduciary, or financial institution.

•The Service is a technology platform that links your accounts via third-party providers (such as Plaid or Method) to:

•Display and track transactions;

•Reflect updated balances;

•Facilitate nightly transfers from your checking account to pay down your credit card balance;

•Send you notifications.

•All transfers, postings, and rewards are ultimately determined and executed by your financial institution, not by Dwindle.

2. Eligibility and Registration

•You must be at least 18 years old and legally capable of entering binding agreements.

•You agree to provide accurate, current, and complete registration information.

•You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

•We may suspend, refuse, or terminate your account at our discretion.

3. Authorization to Access Accounts

•By linking accounts, you authorize Dwindle and its third-party providers to access, transmit, and display financial information from your financial institutions on your behalf.

•You grant Dwindle a limited power of attorney to interact with these institutions solely for providing the Service.

•Dwindle is not responsible for delays, errors, outages, or failures by your bank or third-party provider.

4. Payments, Transfers, and Rewards

•Dwindle initiates instructions through third-party partners to move money from your linked checking account to your credit card.

•We do not guarantee that payments will always post on time. If a bank declines, delays, or reverses a transfer, Dwindle is not liable.

•You are responsible for any overdrafts, late fees, penalties, or interest charged by your financial institution.

•Credit card rewards are issued solely by your card issuer. Dwindle does not control, guarantee, or calculate rewards.

5. Notifications and Balance Updates

•Notifications and in-app balances are for informational purposes only and may not reflect real-time account balances.

•You remain responsible for monitoring your official bank and credit card statements.

•Delivery of notifications may be delayed, inaccurate, or fail entirely.

6. Fees, Subscriptions, and Refunds

•Some features may require payment of fees or subscriptions. Pricing will be disclosed before purchase.

•If you subscribe, you authorize Dwindle (or its payment processor) to automatically charge recurring fees until you cancel.

•Fees and subscriptions are non-refundable, except as required by law.

•Promotional trials or discounts convert into paid subscriptions unless canceled before the trial period ends.

•We reserve the right to change pricing or features at any time with notice.

•We do not guarantee uninterrupted access or error-free operation.

•Account data and balances displayed in the App may differ from your bank’s official records.

10. Limitation of Liability

To the maximum extent permitted by law:

•Dwindle, its affiliates, officers, employees, partners, and licensors are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, overdraft fees, missed payments, or missed rewards.

• Dwindle’s total liability to you will not exceed the greater of (i) $100 or (ii) the total fees you paid to Dwindle in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Dwindle, its affiliates, employees, and partners from any claims, damages, liabilities, costs, or expenses (including attorneys’ fees) arising out of:

•Your use of the Service;

•Your violation of these Terms or applicable law;

•Disputes with banks, card issuers, or third-party providers.

•You may not use Dwindle to violate AML, OFAC, sanctions, or other compliance rules.

16. Dispute Resolution and Arbitration

•Any dispute arising from these Terms or your use of the Service shall be resolved by binding individual arbitration under the Federal Arbitration Act.

•You waive your right to jury trial and class action.

•You may opt out of arbitration within 30 days of accepting these Terms by emailing support@getdwindle.com with your full name and opt-out request.

•Small claims court actions are permitted.

These Terms are governed by the laws of the State of Ohio, excluding conflict-of-law rules. If arbitration is not enforceable, disputes shall be heard exclusively in state or federal courts located in Ohio, and you consent to jurisdiction there.

18. Miscellaneous

•These Terms, along with our Privacy Policy, are the entire agreement between you and Dwindle.

•If any provision is found unenforceable, the rest remain in effect.

•We may assign these Terms without restriction; you may not assign without our consent.

•Failure to enforce a provision does not waive our rights.

19. Promotions and Incentives

From time to time, Dwindle may offer promotional incentives, such as cash credits or discounts, to new or existing users. These promotions are subject to change or discontinuation at any time without notice.

The advertised “$10 value” is available only to the first 100 qualifying users who meet all eligibility requirements. Dwindle reserves the right to determine qualification, limit, modify, or revoke any promotional offer at its sole discretion.
